In addition to the Companies Act, 2013, and relevant rules, Companies are governed by Secretarial Standards which prescribe a set of principles for conducting meetings of Board of Directors, Sub-Committees and Shareholders. Section 118(10) of the Companies Act, 2013 provides for mandatory observance of secretarial standards with respect to General Meetings and Board Meetings issued by the Institute of Company Secretaries of India. Section 205(1) also casts a responsibility on the Company Secretary of the Company to ensure compliance with the applicable secretarial standards.Â
